5. Ordering, Payment, and Pricing

5.1 Order Placement

By placing an order through the Site, you make an offer to purchase the food items in your order at the prices listed. All orders are subject to acceptance by us. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or suspected fraudulent activity.

You will receive an order confirmation via email after placing your order. This confirmation constitutes acknowledgment of receipt of your order, not acceptance. Acceptance of your order occurs when we begin preparing your food items.

5.2 Pricing

All prices listed on the Site are in United States Dollars (USD) and are subject to change without notice. Prices displayed at the time of order placement will be charged to you. We strive to ensure pricing accuracy but reserve the right to correct any pricing errors at any time. In the event of a pricing error, we will notify you and give you the option to proceed at the correct price or cancel your order.

6. Delivery and Pickup

You are responsible for providing accurate delivery address information. We are not liable for failed deliveries resulting from incorrect address information provided by you. If a delivery attempt is unsuccessful due to circumstances on your end, we may charge a re-delivery fee or cancel the order without refund.

For pickup orders, you agree to pick up your order within a reasonable time frame as specified in your order confirmation. We are not responsible for food quality or temperature if pickup is delayed beyond the specified pickup window.

7. Intellectual Property Rights

All content on the Site, including but not limited to text, graphics, logos, images, photographs, audio clips, video clips, data compilations, software, and the overall design and layout of the Site (collectively, "Intellectual Property"), is the exclusive property of Pizzana or its licensors and is protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), trademark laws, and trade dress protections.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial use in connection with the Services. This license does not include:

  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT ON THE SITE;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR FREE FROM OTHER HARMFUL COMPONENTS;
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED;

  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SITE OR SERVICES;
  • UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
  • INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
  • BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED THROUGH THE SITE;
  • ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SITE.

IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SPECIFIC ORDER OR SERVICE GIVING RISE TO THE CLAIM IN THE THIRTY (30) DAYS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED UNITED STATES DOLLARS ($100.00), WHICHEVER IS LESS.

The limitations of liability set forth in this section are fundamental elements of the basis of the agreement between Pizzana and you. We would not be able to provide the Services on an economically reasonable basis without these limitations.

11. Indemnification

You agree to defend, indemnify, and hold harmless Pizzana, and its respective officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Site or Services, including but not limited to information submitted by you;
  • Your violation of any applicable law, rule, or regulation;
  • Your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights;
  • Any claim that your use of the Site caused damage to a third party;
  • Any content you submit, post, or otherwise transmit through the Site;
  • Your willful misconduct or negligence.

This indemnification obligation will survive these Terms and your use of the Site. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defenses.

12. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms, the Site, or the Services shall be governed by and construed in accordance with the laws of the United States and applicable state law, without regard to conflict of law principles.

For any legal proceedings not subject to arbitration as described in Section 13, you consent to the exclusive personal jurisdiction and venue in the federal and state courts located within the United States, and you waive any objection to such jurisdiction or venue, including any objection based on inconvenient forum.

These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

If you are a consumer located in a state with consumer protection laws that provide additional rights or remedies, nothing in these Terms is intended to waive those rights where such waiver would be prohibited by applicable law. Users located in California may have additional rights under the California Consumer Privacy Act (CCPA/CPRA) and other California consumer protection laws.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to attempt to resolve any dispute informally by contacting us at [email protected] with a written description of your claim. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution as described below.

13.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for claims that may be brought in small claims court, and except as otherwise provided herein, any and all disputes, claims, or controversies arising out of or relating to these Terms, the Site, or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in the United States.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND PIZZANA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Pizzana agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Jury Trial Waiver

FOR ANY DISPUTES NOT SUBJECT TO ARBITRATION, YOU AND PIZZANA KNOWINGLY AND VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

14. Third-Party Links and Services

The Site may contain links to third-party websites, applications, or services that are not owned or controlled by Pizzana. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
